01Agreement to terms

These Terms of Use ("Terms") form a binding agreement between you and Sienna Labs LLC ("Sienna Labs," "we," "us," or "our") governing your access to and use of siennalabs.co and any related pages or content we publish (collectively, the "Site").

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

02Scope & relationship to engagements

Where a signed engagement agreement exists between you and Sienna Labs, that agreement controls the consulting relationship — including scope of work, fees, deliverables, IP ownership, confidentiality, warranties, and liability for the engagement. Nothing on this website constitutes an offer to provide services on the terms described here.

03Eligibility

The Site is intended for businesses and the professionals who run them. By using the Site, you represent that you are at least 18 years old and that, if you are using the Site on behalf of an entity, you have authority to bind that entity to these Terms.

04License to use the site

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, internal business, and informational purposes.

This license does not permit you to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit the Site or its content without our prior written permission, except that you may share links to public pages and quote brief excerpts with attribution.

05Intellectual property

The Site and all of its content — including text, graphics, logos, marks, layouts, code, and design — are owned by Sienna Labs LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

"Sienna Labs," the Sienna Labs logo, and related marks are trademarks of Sienna Labs LLC. You may not use them without our prior written permission. All rights not expressly granted in these Terms are reserved.

06Inquiries & submissions

If you contact us through the Site, by phone, or by email, your communications are handled in accordance with our Privacy Policy. Please do not send confidential, proprietary, or sensitive information through public channels — wait until we have a signed non-disclosure or engagement agreement in place.

If you voluntarily send us unsolicited ideas, suggestions, or feedback, you agree that we may use them without obligation, attribution, or compensation. This does not extend to information already covered by an existing confidentiality or engagement agreement, which continues to govern.

07Prohibited conduct

You agree not to:

• Use the Site in any way that violates applicable law or these Terms.
• Attempt to gain unauthorized access to the Site, any related systems, or other users' data.
• Interfere with, disrupt, or impose unreasonable load on the Site or its infrastructure (including denial-of-service attacks or excessive scraping).
• Use bots, scrapers, or automated tools to harvest content or contact information from the Site without our written consent.
• Reverse engineer, decompile, or attempt to extract source code from the Site, except to the extent expressly permitted by law.
• Use the Site or its content to train machine learning or AI models without our prior written consent.
• Misrepresent your identity or your affiliation with any person or entity.
• Use the Site to transmit malware, phishing content, spam, or other harmful material.

09Disclaimers

Content on the Site is provided for general informational purposes and does not constitute legal, financial, tax, or professional advice. You should not act on it without consulting an appropriately qualified advisor for your specific situation.

The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

10Limitation of liability

To the maximum extent permitted by law, Sienna Labs LLC and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site, whether based on contract, tort, statute, or any other legal theory, even if advised of the possibility of such damages.

Our aggregate liability arising out of or related to your use of the Site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you. This section does not affect liability for the consulting services, which is governed by your engagement agreement.

11Indemnification

You agree to indemnify and hold harmless Sienna Labs LLC and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

12Governing law & disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

You and Sienna Labs each waive any right to a jury trial. Disputes must be brought individually, and not as part of any class or representative proceeding. To the extent any consulting engagement provides a different dispute-resolution mechanism, that mechanism controls for matters within its scope.

13Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination — including Intellectual property, Disclaimers, Limitation of liability, Indemnification, Governing law & disputes, and General — will continue to apply.

14Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent revision. Material changes will be highlighted on the Site or otherwise communicated where reasonable. Continued use of the Site after a change constitutes acceptance of the updated Terms.

15General

• Entire agreement. These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the entire agreement between you and Sienna Labs regarding the Site.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified only to the minimum extent necessary.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Sienna Labs.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
